Gradient Dynamics Ltd: Terms of Service

These Terms of Service (“Terms”) govern the access to and use of the Gradient Dynamics cloud-based multiphysics simulation platform and associated services (the “Platform”).

By accessing or using the Platform, you agree to comply with these Terms. If you do not agree, you must not access or use the Platform.

The Platform is operated by Gradient Dynamics Ltd., a company registered in England and Wales.

Subject to these Terms and payment of applicable fees, Gradient Dynamics grants the Customer a non-exclusive, non-transferable, revocable, and limited licence to access and use the Platform solely for internal engineering, research, or commercial development purposes.

The Platform generates predictive models and simulations using computational methods, physics models, and machine learning techniques.

Certain Platform features may incorporate machine learning or artificial intelligence models. Customers acknowledge that:

8. Intellectual Property

All intellectual property rights in the Platform remain the exclusive property of Gradient Dynamics, including: simulation engines, solver technology, machine learning models, optimisation algorithms, datasets, derived models, and platform architecture. Customer use of the Platform does not transfer ownership of any intellectual property.

9. Ownership of Customer Data

Customers retain ownership of all Customer Data uploaded to the Platform. Customers grant Gradient Dynamics a limited licence to process Customer Data solely for:

Both parties agree to maintain the confidentiality of non-public information. This includes algorithms, technical documentation, product designs, datasets, and business information. Confidential information must not be disclosed to third parties without written consent.

11. Data Protection and Privacy

Gradient Dynamics processes personal data in accordance with UK GDPR and the Data Protection Act 2018. Details are described in the Privacy Policy and Data Processing Agreement (DPA). Customers are responsible for ensuring lawful processing of any personal data uploaded to the Platform.

12. Security

Gradient Dynamics maintains technical and organisational security measures including: encryption, access controls, monitoring, and vulnerability management. Security policies may be aligned with recognised standards such as ISO 27001 or SOC 2 practices.

13. Service Availability

Gradient Dynamics aims for high platform availability. However, the Platform may be temporarily unavailable due to maintenance, upgrades, infrastructure issues, or external service disruptions. Service commitments may be defined in a separate Service Level Agreement (SLA).

14. Export Control

The Platform may be subject to UK, EU, and international export control laws. Customers must not export, re-export, or transfer the Platform or related technology to restricted jurisdictions or sanctioned entities.

15. Third-Party Services

The Platform may integrate with third-party services (cloud infrastructure, analytics, external engineering tools). Gradient Dynamics is not responsible for the performance or security of third-party services.

16. Limitation of Liability

To the maximum extent permitted by law, Gradient Dynamics shall not be liable for indirect or consequential damages, loss of profits or revenue, loss of data, or loss of business opportunities. Total liability shall not exceed the fees paid by the Customer in the preceding twelve (12) months. Nothing excludes liability that cannot be excluded under law.

17. Indemnification

Customers agree to indemnify Gradient Dynamics against claims arising from: misuse of the Platform, violation of these Terms, or infringement of third-party rights.

18. Suspension and Termination

Gradient Dynamics may suspend or terminate access if: the Customer breaches these Terms, payment obligations are not met, or use of the Platform poses security risks. Upon termination, access to the Platform will cease.

19. Changes to the Platform

Gradient Dynamics may modify or update the Platform to improve functionality, address security, or comply with legal requirements. Material changes to these Terms will be communicated to Customers.

20. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
